Acquisition of the Microbial Control Business by Lanxess

JSA advised and assisted International Flavors & Fragrances Inc. (“IFF”) on the India aspects of the transfer of its microbial control business to Lanxess AG (“Lanxess”). Lanxess paid a preliminary purchase price of approximately USD 1.3 billion for the acquisition.

IFF’s microbial control division is one of the leading suppliers of antimicrobial active ingredients and formulations for material protection, preservatives and disinfectants. The products are used in a wide range of applications, particularly in personal care and household products, industrial water treatment as well as paints and coatings. Lanxess is a specialty chemicals company which was founded in 2004 via the spin-off of the chemicals division and parts of the polymers business from Bayer AG.

As part of the transaction, JSA assisted IFF in the carve-out of the microbial control business division through business transfers (from multiple IFF India entities) to a newly formed acquisition vehicle.
