JSA advised Hinduja Tech Limited (HT), a mobility-focused global engineering R&D services company, a subsidiary of Ashok Leyland and the Indian flagship company of the multi-billion dollar conglomerate, The Hinduja Group, in relation to the Indian leg of The Hinduja Group’s 100% acquisition of Tecosim Group, a globally active engineering company renowned for developing technological solutions that promote sustainable transport, safe and clean energy supply. The international deal value of the transaction was approximately 20 Million Euros. This strategic acquisition broadens Hinduja Group’s presence in the European and international markets and solidifies its position as a leading provider of mobility engineering services worldwide.
The JSA Transaction Team was involved in undertaking due diligence of the Indian subsidiary of Tecosim Group, structuring the India leg of the transaction including advising on issues pertaining to foreign direct investment, facilitating the negotiation, drafting and signing of documentation for the India leg of the global acquisition and support for the closing and post-closing activities. The JSA Competition Law team advised Hinduja Tech on merger control issues.
