Aditi Sehgal

Aditi specialises in banking & finance and insolvency. She has extensive experience in domestic and cross border debt transactions including syndicated lending (secured & unsecured), debt capital markets, real estate financing, project finance, structured finance, acquisitions, cross border investments, overseas direct investments, external commercial borrowings, listed and unlisted corporate bonds/ non-convertible debentures (private placement) and debt restructuring.

She has advised many Indian and international banks, non-banking financial institutions, financial institutions and Indian borrowers.

She has also been involved in various security enforcement assignments. She has also represented resolution professionals, resolution applicants and the committee of creditors in relation to the insolvency resolution process of companies under the Insolvency and Bankruptcy Code, 2016.

In addition, Aditi regularly advises domestic and international banks on all types of general banking products, including issues concerning exchange control regulations and securities regulations.

She has been practicing law since 2010. Before joining JSA, she worked for five years with Cyril Amarchand Magaldas (earlier Amarchand & Mangaldas & Suresh A. Shroff & Co.), another law firm in India.

  • Advised Standard Chartered Bank and DBS Bank in a project financing to Vena Energy Shivalik Wind Power Private Limited for development of a wind energy project in Gujarat.
  • Advised a foreign investor on acquisition of a majority stake in an Indian company in the business of providing advisory services.
  • Advised Deutsche Bank in a structured NCD financing to Futurefone Limited (a Future group entity).
  • Advised a steel manufacturing company in acquisition of a majority stake in another steel manufacturing company.
  • Advised B.M.M. Ispat Limited in connection with issuance of non-convertible debentures.
  • Advised Deutsche Bank in a real estate NCD financing to Indiabulls Infraestate Limited.
  • Advising KKR India Financial Services Limited and L&T Finance Limited in providing restructuring options for their stressed asset backed by land mortgage.
  • Advised Deutsche Bank in a structured NCD finance to Piramal Enterprises Limited.
  • Advised SSG Advisors LLP for purchase of unlisted debentures issued by two Shapoorji Pallonji group companies.
  • Advised investors in a priority interim finance under the Insolvency and Bankruptcy Code to Sevenhills Healthcare Private Limited.
  • Advised the committee of creditors in the corporate insolvency resolution process of Sintex Industries Limited.
  • Advised Goldman Sachs in the corporate insolvency resolution process of Hindustan National Glass & Industries Limited.
  • Advising the resolution professional in the corporate insolvency resolution process of Smaaash Entertainment Private Limited.
  • Advised JM Financial Asset Reconstruction Company Limited in connection with its bid for Sintex -BAPL Limited under the Insolvency and Bankruptcy Code.
  • Advising Goldman Sachs in relation to debt restructuring of various credit facilities lent to BILT Graphic Paper Products Limited.
  • Advised Tata Electronics Private Limited in respect of its INR and foreign currency borrowings for its manufacturing facility situated in Tamil Nadu.
  • Advising Vidiyal Residency Private Limited (a Tata group company) in respect of credit facilities availed from Hongkong and Shanghai Banking Corporation Limited for its industrial housing project situated in Tamil Nadu.
  • Advising Vidiyal Residency Private Limited (a Tata group company) in respect of issuance of optionally convertible debentures for its industrial housing project situated in Tamil Nadu.
  • Advised Morus Technologies Pte. Ltd. in relation to an offshore borrowing from Fasanara Securitisation S.A.
  • Advised Morus Technologies Pte. Ltd. and Akara Capital Advisors Private Limited in relation to an external commercial borrowing facility availed by Akara Capital Advisors Private Limited from Morus Technologies Pte. Ltd.
  • Advised Standard Chartered Bank and Axis Bank Limited in respect of foreign currency facilities availed by Safex Holdings UK Limited, a wholly owned subsidiary of Safex Chemicals (India) Limited.
