Nandini’s focus areas are mergers & acquisitions, private equity, banking & finance and general corporate matters. Her scope of work include conducting due-diligence, drafting and reviewing transaction documents, assisting in closing and post closing actions, advising on setting up business in India, corporate compliance, governance and business structuring & restructuring across a variety of industries and sectors.

Nandini’s practice also includes negotiation and documentation of all type of commercial contracts including O&M Agreements, founder agreements, employment/consultant contracts, service/supply agreements, sale deed, rental agreements, stock option plans, for companies in different sectors such as retail e-commerce, online gaming, healthtech and others.

Some of the key assignments in these areas handled and being handled by Nandini amongst others, cover the following: –

  • Advised promoters/sell-side of Vizag Hospital and Cancer Research Centre Private Limited in connection with the acquisition of shares by  HealthCare Global Enterprises Limited.
  • Advised River Mobility, an e-scooter startup in relation to its USD 40 million – Series B fund raise led by Yamaha Motor Co, Ltd. The round also saw participation from existing investors Al-Futtaim Automotive, Lowercarbon Capital, Toyota Ventures and Maniv Mobility.
  • Assisted Baashyaam group in connection with their acquisition of shares in the entity which owned Crowne Plaza Chennai (Adyar Park) property.
  • Advised and assisted Athulya Senior Care, which is a leading player in the assisted living and home healthcare space, in its USD 9.30 million private equity investment from North Haven India (fund managed by Morgan Stanley).
