Shivangi Sharma Talwar

Shivangi Sharma Talwar is a partner, specialising in mergers and acquisitions, investment transactions, strategic buyouts in the insurance sector.

She represents national and international insurance and reinsurance companies, funds, insurance intermediaries, insurtechs, insurance-related service companies, on a wide array of insurance regulatory, corporate advisory, compliance and strategic matters and actively undertakes policy work in the insurance regulatory space.

She has worked on insurance joint venture mandates, across their lifespan spanning from formation, restructuring, shareholder disputes and exits.

In addition to the insurance sector, Shivangi also assists international and domestic clients in their funds raising and divesting endeavours in the information technology sector.

  • Norwest Capital, LLC on its investment in Edme Services Private Limited (a fully professionally managed entity set up by Samara Alternate Investment Fund – Scheme I for undertaking the acquisition of Aditya Birla Insurance Brokers Limited.
  • Serum Institute of India in relation to majority acquisition of Magma HDI Insurance Company Limited.
  • Vidal Health Insurance TPA Private Limited and Vidal Healthcare Services Private Limited in the acquisition of Vipul Medcorp and Vipul Medcare.

Insurance Regulatory Experience

  • Regulatory and structuring advisory to funds, strategic investors, insurtechs to set up insurance companies and insurance intermediaries, drafting of applications and obtaining approvals from the Insurance Regulatory and Development Authority of India.
  • Drafting of outsourcing and corporate agency agreements, for multiple insurance companies and insurance brokers with a specific emphasis on compliance with the IRDAI regulations.
  • Advised insurers, reinsurers and intermediaries on legal and regulatory issues including regulatory framework remuneration arrangements and “group” arrangements.
  • Advice on setting up reinsurers and insurance intermediaries in the GIFT City.
  • Advice on commission structure, marketing arrangements and payment arrangements to insurance agents and point of salepersons.
